End-User Licence Agreement (EULA) for ROBOTILL
This End-User Licence Agreement (“EULA”) is a legal agreement between you (either an individual or a single legal entity) and ROBOTILL (PTY) LTD (“ROBOTILL”) governing your use of the ROBOTILL software product (“SOFTWARE PRODUCT”).
By installing, copying, registering, activating, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the SOFTWARE PRODUCT.
1. Licence Grant
ROBOTILL grants you a non-exclusive, non-transferable licence to install and use the SOFTWARE PRODUCT strictly in accordance with the terms of this EULA.
The Free Edition may be installed on any number of computers for personal or commercial use. The Free Edition may not be sold, modified, repackaged, or redistributed except by linking to and downloading from the official ROBOTILL website.
Full Edition modules require the purchase of a separate licence for each computer or server environment on which they are installed, accessed, or used.
2. Licence Scope and Registration
Each Full Edition licence authorises installation and use of the SOFTWARE PRODUCT on one (1) specific computer or server environment only.
A separate licence must be purchased for each POS computer, till point, terminal, workstation, or device on which the Full Edition is installed or used. Registration of a licence to a business does not permit use on multiple computers unless separate licences have been purchased.
For each licensed POS computer, the licence includes the right to install and register one (1) additional ROBOTILL Back Office installation at no additional cost. This Back Office installation must be directly linked to the licensed POS computer and may not be used independently or as a substitute for a separately licensed POS computer. The Back Office installation provides access to the Back Office module only and does not authorise use of POS applications without a separate POS licence.
All licences must be registered to the end-user business operating the SOFTWARE PRODUCT.
3. Re-Registration Policy
Re-registration is required if:
- The computer is replaced;
- The registered business name or computer name is changed;
- Hardware is modified;
- A database restore is performed;
- The server environment changes.
A maximum of four (4) re-registrations per licence is permitted within any rolling 12-month period.
Re-registrations exceeding this limit will normally require the purchase of a new licence, unless otherwise approved by ROBOTILL at its sole discretion. ROBOTILL reserves the right to monitor excessive, abnormal, or suspicious registration activity.
4. Non-Transferability
A licence is issued to a specific end-user business and may not be resold, shared, assigned, sub-licensed, or transferred to another individual, business, or legal entity without the prior consent of ROBOTILL, which may be granted or withheld at its sole discretion.
5. Lifetime Licences
Lifetime licences (no longer available) were issued for specific computers and are permanently linked to the original hardware. These licences may not be moved to other computers.
6. Support Services
ROBOTILL may provide support services in accordance with the support terms, conditions, and policies published on the ROBOTILL website (the “Support Terms”).
By using or purchasing any support services, you agree to be bound by the applicable Support Terms in effect at the time the service is provided.
Support policies, service levels, pricing, and conditions may be modified from time to time at ROBOTILL’s discretion. The most current Support Terms are available on the ROBOTILL website.
7. Refunds
ROBOTILL provides a Free Edition to allow customers to evaluate the SOFTWARE PRODUCT. Refunds for purchased licences are available within thirty (30) days of purchase, provided the licence is properly cancelled in accordance with instructions from ROBOTILL Support. Refunds may take up to five (5) business days to process.
8. Copyright and Restrictions
You may not reverse engineer, decompile, disassemble, modify, or create derivative works based on the SOFTWARE PRODUCT.
All intellectual property rights, title, and interest in and to the SOFTWARE PRODUCT, including all copies thereof, remain the exclusive property of ROBOTILL. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions.
9. No Warranties
The SOFTWARE PRODUCT is provided “as is” without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The entire risk arising out of the use or performance of the SOFTWARE PRODUCT remains with you.
10. Limitation of Liability
In no event shall ROBOTILL be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or any other pecuniary loss arising out of the use of or inability to use the SOFTWARE PRODUCT, even if ROBOTILL has been advised of the possibility of such damages.
Users are solely responsible for maintaining regular and adequate backups of their data. ROBOTILL shall not be responsible for any loss of data under any circumstances.
11. Licence Term and Expiry
Full Edition licences are issued for a fixed term of either twelve (12) months or twenty-four (24) months, as selected at the time of purchase.
The licence becomes active upon registration and will automatically expire at the end of the purchased term unless renewed. Continued use of the Full Edition after expiry requires the purchase of a new or renewed licence.
The SOFTWARE PRODUCT relies on the system date and time of the computer for licence validation. The user is responsible for ensuring that the system date and time are accurate and not intentionally altered.
Any manipulation, falsification, or intentional misrepresentation of the system date or time in order to extend or bypass licence restrictions constitutes a material breach of this EULA and may result in immediate termination of the licence.
12. Termination
This licence remains in effect for the duration of the purchased term unless terminated earlier in accordance with this EULA.
ROBOTILL may terminate this licence immediately if you fail to comply with any term of this EULA. Upon termination or expiry, you must immediately cease all use of the SOFTWARE PRODUCT and uninstall all copies.
13. Amendments
ROBOTILL reserves the right to modify or update this EULA at any time. The most current version will be published on this page. Continued use of the SOFTWARE PRODUCT after any modification constitutes acceptance of the updated terms.
